MASTER PLATFORM TERMS OF SERVICE & OPERATIONAL DISCLOSURES

1. Preamble and Acceptance of Terms

These Terms and Conditions (the "Terms" or "Agreement") constitute a legally binding contract between you (the "Participant", "User", or "Investor") and Genesis AI Technologies Ltd (the "Company", "Genesis AI", "we", "us", or "our"), a digital asset technology company. This Agreement governs your access to and use of the Genesis AI software-as-a-service platform, including its proprietary algorithmic trading technology, visual user interfaces, reporting modules, and structured participation frameworks (collectively, the "Platform").

By executing the registration process, checking the acceptance checkbox during sign-up, or otherwise accessing the Spot or Demo environments, you declare that you have full legal capacity to enter into this contract and agree to comply with all terms herein. If you do not agree to these Terms, you must immediately cease all access to the Platform.

2. Definitions of Key Terms

  • Platform: The Genesis AI website, mobile application interface, database systems, APIs, and the core underlying technology.
  • Intelligence Engine: The proprietary, eight-layer automated decision-making and risk-analysis architecture operated by Genesis AI.
  • Demo Trade Environment: The non-monetary, risk-free simulation program provided by the Platform using virtual demo capital.
  • Spot Trade Environment: The live-market, real-capital environment of the Platform where active digital assets are deposited, traded, and managed.
  • Investment Programs: The four structured configurations (Stratos, Quantum, Nexus, and Cipher) through which the Intelligence Engine manages capital.
  • Bot Activation Fee: The non-refundable operational fee required to initiate a specific trading cycle within an Investment Program.
  • Profit Share: The performance-based fee structure through which Genesis AI derives revenue, representing a percentage of realized profits generated during an active cycle.

3. User Registration, Account Security, and Onboarding

3.1 Registration and Verification: To use the Platform, you must complete the registration process. You agree to provide accurate, current, and complete information. Registration is restricted to individuals of legal age in their jurisdiction (at least 18 years of age) and entities properly incorporated and legally authorized to trade digital assets.

3.2 Security and Two-Factor Authentication (2FA): Your account security is a shared responsibility. The Platform provides a dedicated Security Module within your dashboard to manage credentials. You are strongly encouraged to enable multi-factor/two-factor authentication (2FA), monitor your active session history, and update access credentials regularly.

3.3 Demo Trade Environment Onboarding: Upon successful registration, every user is automatically granted $10,000 in virtual demo capital. This capital exists solely for educational, simulation, and strategy-testing purposes. Virtual capital has no real-world cash value, cannot be withdrawn, and cannot be transferred.

4. Description of Platform Services & Trading Environments

4.1 The Demo Trade Environment (Simulated): A sandbox environment replicating live market data, liquidity structures, and bid-ask spreads. It supports manual trading simulation, strategy testing, AI demonstration mode, and parallel performance comparisons.

4.2 The Spot Trade Environment (Live): The live-market application of the Platform where users deploy real assets. It supports manual trading, automated program participation, and real-time auditable monitoring of all transactions.

5. The Genesis AI Intelligence Engine

The primary service of the Platform is access to the eight-layer automated Intelligence Engine, which includes:

  1. Market Surveillance: Continuous 24/7 scanning of supported primary digital assets
  2. Technical Analysis: Evaluation of market structure, trends, and indicators (EMA/SMA, RSI, MACD, VWAP)
  3. Sentiment Intelligence: NLP and quantitative tracking of global financial news and regulatory changes
  4. On-Chain Analytics: Surveillance of blockchain ledger activity and high-volume transactions
  5. Opportunity Detection: Identifying high-probability trading opportunities
  6. Predictive Modeling: Multi-scenario probability forecasts based on historical analogies
  7. Risk Management Guardrails: Capital exposure filters, stop-loss calculations, and concentration controls
  8. Autonomous Execution: Programmatic entry, adjustment, and exit of trading positions

6. Investment Programs & Fee Structure

Genesis AI offers four structured Investment Programs: Stratos (Entry Level, 5%-20% target, 4 weeks), Quantum (Intermediate, 10%-30% target, 6 weeks), Nexus (Advanced, 20%-40% target, 8 weeks), and Cipher (Premium, 25%-50% target, 12 weeks).

6.1 Bot Activation Fee: The non-refundable operational fee covers computational, infrastructure, and license costs. This fee is paid upfront and is non-refundable regardless of trading performance.

6.2 Profit Share: Genesis AI operates on a performance-based alignment model. We only charge a Profit Share when a trading cycle completes with positive net returns.

7. Revenue Management & Capital Distribution

At the conclusion of any active Trading Cycle, participants must explicitly select one of four pathways:

  • Profit Withdrawal: Move realized profits to your main wallet
  • Reinvestment: Recommit profits to a new trading cycle
  • Portfolio Compounding: Add profits to principal capital for increased allocation
  • Program Upgrade: Pool profits and capital to activate a higher-tier program

8. Risk Framework and Capital Protection Protocols

8.1 Operational Safeguards: The platform enforces position-level drawdown thresholds, portfolio-level exposure caps, and real-time regime-shift adjustments.

8.2 No Guarantees of Return: While equipped with institutional-grade risk management, digital asset markets are inherently volatile. Genesis AI does not guarantee achievement of expected performance targets or protection from capital drawdown.

9. User Representations and Warranties

By utilizing the Platform, you warrant that:

  • You are legally permitted to hold, trade, and invest in cryptographic assets in your jurisdiction
  • Allocated funds are from legal origins and not derived from money laundering or illegal activities
  • You possess sufficient technological and financial literacy to understand the risks

10. Prohibited Activities

Users are strictly prohibited from:

  • Attempting to reverse-engineer or exploit the Intelligence Engine
  • Using automated bots or web scrapers to manipulate the Platform
  • Engaging in market abuse, wash-trading, or coordinate-trading strategies

11. Intellectual Property

The software, proprietary logic, visual user interface, and brand name "Genesis AI Technologies Ltd" are the exclusive intellectual property of the Company. No license or ownership right is transferred to users through participation.

12. Limitation of Liability

Genesis AI Technologies Ltd, its directors, employees, or tech partners are not liable for any direct, indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or capital arising from your use of the Platform.

13. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of Genesis AI Technologies Ltd's jurisdiction of incorporation. Any dispute shall be settled through binding arbitration in accordance with chosen arbitration center rules.

14. Amendments and Updates

We reserve the right to modify these Terms at any time. Changes will be posted on the Platform with an updated Effective Date. Continued use constitutes acceptance of modified Terms.

Genesis AI ADGM entities are regulated by the Financial Services Regulatory Authority (FSRA) of the Abu Dhabi Global Markets (ADGM) as follows: (1) Genesis AI Exchange Limited is recognised as a Recognised Investment Exchange (Derivatives), with a stipulation to Operate a Multilateral Trading Facility; (2) Genesis AI Clearing and Custody Limited is recognised as a Recognised Clearing House, with a stipulation to Provide Custody and operating a Central Securities Depository; (3) Genesis AI Trading Limited is authorised to carry out the following Regulated Activities: (i) Dealing in Investments as Principal; (ii) Dealing in Investments as Agent; (iii) Arranging Deals in Investments; (iv) Managing Assets; (v) Providing Money Services; and (vi) Arranging Custody. Risk Warning: virtual asset prices can be volatile. The value of your investment may go down or up and you may not get back the amount invested. You are solely responsible for your investment decisions and Genesis AI is not liable for any trading losses you may incur.
